Terms and Conditions
1. Service Definitions & Scope
These terms govern the provision of productivity training services (live/virtual workshops, coaching, digital content) by Time Efficiency Experts Ltd (“Provider”) to the client (“Recipient”). Services are rendered on a non-exclusive basis. Any modifications to scope must be agreed in writing via change order.
2. Payment & Cancellation
Fees are invoiced 50% upon booking and 50% upon delivery, unless otherwise stated. Late payments incur 1.5% monthly interest. Cancellations more than 14 days before start receive full refund; 7-14 days incur 50% cancellation fee; less than 7 days forfeit 100%. Force majeure includes pandemics, natural disasters, and internet outages beyond Provider’s control.
3. Intellectual Property
All materials (workbooks, templates, frameworks) remain Provider’s exclusive IP. Recipient receives a non-transferable, non-sublicensable license for internal use only. Reverse engineering of proprietary methodologies is prohibited. Training recordings are for Recipient’s internal use; redistribution requires written consent.
4. Limitation of Liability
Provider’s total liability for any claim (contract, tort, or otherwise) is limited to fees paid for the specific engagement giving rise to the claim. Provider is not liable for indirect, consequential, or punitive damages, including lost profits or productivity. Some jurisdictions (e.g., EU) may not permit limitations for gross negligence; such limitations are void only to that extent.
5. Confidentiality & Data Handling
Both parties agree to protect confidential information disclosed during the engagement. Provider adheres to data processing terms per executed DPA. Recipient warrants that any data shared complies with applicable privacy laws. Breach of confidentiality may result in injunctive relief and damages.
6. Governing Law & Dispute Resolution
These terms are governed by Swiss substantive law, excluding its conflict of laws principles. Any disputes shall be finally resolved by the ordinary courts of Zurich, Switzerland. For EU clients, alternative dispute resolution (ODR platform) is available but non-binding.
